Terms of Service

Last updated September 4, 2026

These Terms of Service (the “Terms”) are a binding agreement between you and My Research Focus LLC (“InsideTrade”, “we”, “us”, or “our”) and govern your access to and use of InsideTrade — our website, application, and related services (together, the “Service”). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. InsideTrade is a record-keeping tool, not financial advice

Read this one

InsideTrade is a journal and performance tracker. It records trades you have already made and reports arithmetic about them. It is not investment advice.

We are not a broker-dealer, an investment adviser, a financial planner, or a tax adviser, and no relationship of that kind is created by your use of the Service. Nothing in the Service — not a number, not a chart, not a label such as “Win” and not an assignment warning — is a recommendation to buy, sell, or hold any security or digital asset. Trading involves risk, including the loss of your entire investment, and options and leveraged positions can lose more than the premium paid. Every decision you make is your own.

The Service places no orders and connects to no brokerage account. It does not execute, route, clear, settle, or custody anything. What you see in InsideTrade is what you told it, plus market prices we fetch from a third-party data provider, plus figures derived from the two.

The Service is not a brokerage statement or a tax record. Your broker’s statements and your own records are authoritative; ours are a convenience. Do not rely on InsideTrade for tax filing, regulatory reporting, or reconciling an account, and verify any figure before you act on it.

2. Market data

Open positions are marked to prices we retrieve from a third-party market data provider. Those prices are provided to you “as is” and for informational purposes only. In particular:

  • Prices may be delayed and are not a live quote feed. Quotes are refreshed on a background schedule, and the interval may differ by market. Options prices in particular may be indicative and substantially delayed.
  • Equity prices may reflect a single venue rather than a consolidated national best bid and offer, and are not a price at which any order could have been filled.
  • Prices may be missing, stale, or wrong. Where we cannot price a position we say so rather than substituting a zero, and the affected position is left out of the totals and counted separately — but we do not warrant that any figure shown is accurate or current.
  • The provider may change, and market data may be interrupted or discontinued for reasons outside our control.

Market data is made available to you for your personal, internal use within the Service only. You may not redistribute, resell, or republish it, or use it to operate a competing data service.

3. Definitions

  • “Account” means the account you register to access the Service.
  • “Content” means everything you record in the Service — trades, orders, portfolios, custom assets, pairs, journal entries, notes, setups, mistakes, and tags — together with anything you import.
  • “Market Data” means prices and related market information the Service retrieves from third-party providers.

4. Eligibility and your account

You must be at least 18 years old and able to form a binding contract to use the Service. You agree to provide accurate information when you register and to keep it up to date. If you use the Service on behalf of an organization, you represent that you are authorized to bind that organization, and “you” refers to that organization.

Authentication is handled by our identity provider, which stores your credentials; we never see your password. You are responsible for safeguarding your credentials and for all activity under your Account. Tell us at contact@insidetrade.net if you suspect unauthorized use.

Username accounts and recovery codes

You may register with a username instead of an email address. That is a deliberate feature: it means you can keep a trading journal here without giving us a way to contact you, and without your positions ever being associated with your email address.

Keep your recovery code

A username account has no email address attached, so there is no address we can send a password reset to. The recovery code shown to you once at sign-up is the only way back into the account. Store it somewhere safe.

If you lose both your password and your recovery code, we cannot verify that the account is yours and we cannot restore your access or return your data. This is not a policy we can make an exception to: we have no other means of identifying you.

Redeeming a recovery code consumes it, and a replacement is issued immediately. You are responsible for recording the replacement.

5. Your Content

You own your Content. We claim no ownership of it, and we do not sell it, rent it, share it with data brokers, or use it to build advertising profiles. You grant us a worldwide, non-exclusive, royalty-free license to host, store, process, copy, and display your Content solely to operate, secure, and support the Service and to provide it to you. That license ends when your Content is deleted, except for residual copies in backups for a limited period as described in our Privacy Policy.

You are responsible for your Content, including anything you import from a broker or another journal, and for having the right to provide it to us. You can export your Content from the Service at any time.

6. Acceptable use

You agree not to, and not to permit anyone else to:

  • use the Service for any unlawful purpose, including market manipulation or in furtherance of insider trading;
  • hold yourself out as licensed by, endorsed by, or affiliated with us, or present output from the Service to other people as investment advice;
  • upload viruses, malware, or any code designed to disrupt, damage, or gain unauthorized access to any system or data;
  • probe, scan, or test the vulnerability of the Service, or breach or circumvent any authentication, rate limit, or account limit;
  • access another user’s Account or data, or attempt to;
  • scrape, harvest, or extract Market Data from the Service, or redistribute it in any form;
  • reverse engineer, decompile, or attempt to extract the source code of the Service;
  • resell, sublicense, or commercially exploit the Service without our prior written permission; or
  • harass, threaten, or abuse our staff.

We may investigate and take appropriate action, including suspending or terminating Accounts, for violations.

7. Fair use

The Service is offered free of charge and runs on shared infrastructure — in particular a market data allowance that every user draws on. Fair use is how one Account is kept from making the Service slow or expensive for everyone else. It is not a pricing tier, and there is nothing to buy your way past.

Account ceilings

Each Account may hold up to the following. These are the limits the Service actually enforces, and they are deliberately generous — they sit far above what anyone reaches by recording their own trading.

LimitPer account
Trades3,000
Orders on one trade100
Portfolios100
Pairs100
Rotations on one pair200
Custom assets50

Reaching a ceiling stops you adding more of that record. It never locks you out, never hides what you have already recorded, and never blocks an edit or a deletion — you can always read, export, and delete your way back under a limit. If one of these is genuinely in the way of how you trade, write to us; we would rather hear about it than have you work around it.

Automated and excessive use

You also agree not to:

  • access the Service through scripts, bots, or automated clients, or drive it at a rate no person could produce by hand;
  • add symbols, positions, or accounts in order to pull market data rather than to track a real book — using the Service as a price feed is not fair use of it;
  • register multiple Accounts to get around a limit in this section; or
  • impose a load that degrades the Service for other users, whether deliberately or not.

Where use is excessive we will normally throttle it or contact you first. We reserve the right to suspend or terminate an Account for sustained or deliberate abuse, and we may adjust these ceilings; where a change would reduce a limit you are already relying on, we will give notice, and you will keep everything you have already recorded.

8. Plans and payments

The Service is currently offered free of charge, with no advertising. If we introduce paid plans, the following applies. Fees, billing periods, and the features included in each plan will be described at the point of purchase. Unless stated otherwise:

  • fees are billed in advance and are stated exclusive of taxes, which we may collect where required;
  • paid plans renew automatically for successive billing periods until you cancel;
  • upgrades take effect immediately and are charged on a prorated basis; downgrades take effect at the start of the next billing period;
  • except where required by law or expressly stated in a refund policy, payments are non-refundable; and
  • we may change prices on a going-forward basis and will give at least 30 days’ notice of a change that affects you.

Payments would be handled by a third-party payment processor, and we would never receive or store your full card details. Introducing a paid plan will not take away access to Content you recorded while the Service was free, and you will always be able to export it.

9. Cancellation and termination

You may stop using the Service and delete your Account at any time. If you cancel a paid plan, cancellation takes effect at the end of the current billing period and you will not be charged again; we do not provide prorated refunds for partial periods except where required by law.

We may suspend or terminate your access, with or without notice, if you breach these Terms, create risk or legal exposure for us, or use the Service in a way that may harm others. Upon termination your right to use the Service ends. Export your Content before you close your Account — deletion after termination is described in our Privacy Policy.

10. Changes to the Service

We are continually improving the Service and may add, change, or remove features, including changing market data providers or refresh intervals. We may also discontinue the Service or any part of it. Where a change is material and within our reasonable control we will give you advance notice and, where the Service is being discontinued, a reasonable opportunity to export your Content.

11. Intellectual property

The Service, including its software, design, text, and trademarks, is owned by My Research Focus LLC and its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service in accordance with these Terms. You obtain no ownership rights in the Service through your use of it. If you send us feedback or suggestions, you grant us a perpetual, royalty-free license to use them without restriction or obligation to you.

12. Third-party services

The Service relies on third parties — for hosting, authentication, market data, payment processing, and analytics. Your use of those services may be subject to their own terms, and we are not responsible for them. They are listed in our Privacy Policy.

13. Disclaimers

The Service is provided on an “as is” and “as available” basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, secure, or error-free, or that any figure or Market Data shown in it will be accurate, complete, or current. We do not offer a service-level agreement, but we take availability and security seriously.

14. Limitation of liability

To the fullest extent permitted by law, My Research Focus LLC and its officers, employees, and suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any trading or investment loss, lost profits, lost revenue, lost data, or lost goodwill, arising out of or related to your use of (or inability to use) the Service, or to any figure or Market Data shown in it, even if we have been advised of the possibility of such damages. Our total liability for any claim arising out of or related to the Service or these Terms is limited to the greater of the amounts you paid us for the Service in the 12 months before the event giving rise to the claim, or USD $100.

15. Indemnification

You agree to defend, indemnify, and hold harmless My Research Focus LLC and its officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to your Content, your use of the Service, or your violation of these Terms or applicable law.

16. Governing law and disputes

These Terms are governed by the laws of the Commonwealth of Kentucky, without regard to its conflict-of-law rules. You and we agree to the exclusive jurisdiction of the state and federal courts located in Kentucky for any dispute that is not subject to another agreed dispute-resolution process. Before filing a claim, you agree to first contact us at contact@insidetrade.net and attempt to resolve the dispute informally.

17. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide notice — for example, by posting the updated Terms with a new “Last updated” date or, where we have an address for you, by email. Your continued use of the Service after the changes take effect constitutes acceptance of the updated Terms.

18. General

These Terms, together with the Privacy Policy, are the entire agreement between you and us regarding the Service and supersede any prior agreements. If any provision is found unenforceable, the remaining provisions remain in effect. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
